Terms.
1. Who you are dealing with
The Brainer OÜ, Lahepea 9, 10617 Tallinn, Estonia, registry code 14825632, VAT EE102198386 ("we", "us"). Email edit@thebrainer.co. Smart Edit is offered to businesses, agencies, freelancers and other professionals who build websites for others ("you", "the builder"). The people you give editing access to are "editors". By registering a site or reserving a founding place you accept these terms.
2. What Smart Edit is
- The client library (edit.js): a script you add to a website that lets editors change text, images and styling of that site through a chat panel and by tapping elements. It is published under the MIT licence. Its use is governed by that licence, not by these terms.
- The control plane: our hosted service that the script talks to. It checks editor links, interprets edit requests with a language model, stores uploaded images, saves changes as versions, and writes them back to where the site is hosted. These terms govern the control plane.
- Hosting, if you choose to host a site with us rather than write back to your own host.
Smart Edit edits what is on a page. It does not create pages, sections or layouts, does not run shops, bookings or member areas, and is not a content management system. Editors edit one page at a time, the page they are looking at.
3. Sites, keys and editor links
- You register a site by its hostname and receive a site key and an owner link. You may register only sites you built or are authorised to manage.
- An editor link is a credential. Anyone who has it can change the site. You are responsible for sending links only to people entitled to edit, for revoking links when that changes, and for what editors do with them. Up to five named editors per site.
- We may suspend a site key that is used to attack the service, to edit sites without authorisation, or to publish unlawful content, after telling you where reasonably possible.
4. Price and payment
- One site is free. Every further site costs €9 per site per month. From 20 sites, €6 per site per month. Prices exclude VAT, which is added where the law requires it.
- Every newly registered site starts with 30 days free. If you remove the site before those end, nothing is charged for it.
- Billing is monthly, in arrears for the sites active during the month, by card through Stripe, on one invoice for all your sites. You must keep a valid payment method on file once you have more than one site.
- We can change prices with at least 30 days' notice by email. Continued use after the change means you accept it. Founding builders have the €9 price fixed for two years from the date site keys open.
- A site is not charged for hosting or write-back separately. Reasonable use applies: an editor may make as many changes as they like; automated or scripted use of the edit endpoint is not covered.
5. The Founding 100
- The first 100 builders who reserve a founding place and register a site get: their first registered site free for as long as it exists ("free for life" means for the life of that site on the service, not transferable to another site); three free months on every other site they register within 12 months; and the €9 price fixed for two years.
- Founding places carry no obligation. We may ask for feedback or a public mention; you may decline.
- Places are counted in the order reservations arrive. A reservation that is not followed by a registered site within 60 days of keys opening may be released.
6. Cancelling and refunds
- You can remove any site at any time from your dashboard or by email. Charges for that site stop at the end of the current month. Monthly charges already made are not refunded, except where we end the service ourselves (section 11) or where the law says otherwise.
- When a site is removed, the script on that site stops working. Sites hosted with us stay online for 30 days, during which you can download a complete export; then they are deleted. Versions and uploads written back to your own repository or host are yours and stay where they are.
7. Your content and your clients' content
- Everything on the sites, the text, images and edits, belongs to you or your clients. You give us the right to store, process and transmit it only as needed to provide the service.
- Edit requests, the visible text of the page and the page's structure are sent to a language model provider (currently Anthropic) to interpret the request. They are not used to train models. See the privacy notice.
- You are responsible for having the rights to the content editors upload, and for what editors publish. We do not review content.
8. Write-back and access to your systems
If you connect a repository or a deploy hook, we use that access only to write the changes editors save, in the form described in the documentation: text replaced in the page file, images added under an uploads folder, style rules appended to one stylesheet. We do not read or modify other files. You can revoke the access at any time; saving then stops until reconnected.
9. Availability and support
We aim to keep the control plane available at all times but do not guarantee uptime. Planned maintenance is announced by email where it affects saving. Support is by email at edit@thebrainer.co on business days. There is no service level agreement unless agreed in writing.
10. What we are not liable for
- The service is provided as is. To the extent the law allows, we are not liable for indirect loss, lost profit, lost data that you could have backed up, or changes made by editors you gave access to.
- Our total liability for any claim in a year is limited to the fees you paid us in the 12 months before the claim.
- Nothing limits liability that the law does not allow to be limited.
11. Ending the service
We may end the service, or a part of it, with at least 90 days' notice by email. In that case we refund any fees paid for periods after the end date, keep hosted sites available for export for 90 days, and publish the server side of the control plane under an open licence so the client library keeps working for those who wish to self-host.
12. Changes to these terms
We may change these terms with at least 30 days' notice by email to the address on your account. If you do not agree, remove your sites before the change takes effect.
13. Law
These terms are governed by the law of Estonia. Disputes are settled in Harju County Court, Tallinn, unless the law gives you the right to another court. Consumer protection rules do not apply, as the service is offered to businesses.
